Terms of Service

The terms that govern your use of Northwoods. They cover what we offer, what we do not warrant, and how the placeholder pricing on the canvas should be read before it goes out to a client.

1. Acceptance of these Terms

By creating an account, signing in, or otherwise using Northwoods Estimating & Preconstruction, you agree to these Terms of Service. If you do not agree, do not use the service.

2. The service and your license to use it

Northwoods provides a hosted software product that reads residential architectural and structural drawings, runs a quantity takeoff and labor build against them, and produces a client-ready proposal. We grant you a non-exclusive, non-transferable license to use the product during the term of your subscription or credit pack. You may not resell, sublicense, or redistribute the product.

3. Acceptable use

  • Use only drawing sets and content you have the right to upload.
  • Do not attempt to extract, reverse-engineer, or scrape the source models behind the takeoff or pricing panels.
  • Do not use the service to violate any law or to prepare bids or materials for any unlawful purpose.
  • Do not probe, attack, or otherwise disrupt the service or the accounts of other users.

4. Intellectual property

The product, the takeoff models, the regional pricing tables, the proposal templates, the site design, and the names and marks “Northwoods Estimating & Preconstruction” are owned by us or our licensors and protected by applicable intellectual-property law. Your uploaded drawings and the estimates those drawings produce remain yours.

5. Pricing-data notice

Numbered takeoff rows and labor rates shown inside any in-app estimate view are seeded with placeholder defaults before you replace them. The disclaimer that appears in the product on any estimate that carries a placeholder row reads:

Pricing and labor rates shown here seed the canvas with placeholder defaults — replace them with your actual regional rates before sending a number to a client. Any row still on a placeholder is flagged inline as ‘unverified — needs owner review’. No accuracy claim is implied; review every row.

Northwoods makes no accuracy claim about placeholder rates, the regional cost profiles we ship, or the figures in the seed catalog that backs them. Numbers are a starting point for your review, not a substitute for a rate sheet you have verified against current vendor quotes.

6. Disclaimers and limitation of liability

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that the numbers it produces are accurate or complete. To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the service is limited to the amount you paid us in the twelve months before the claim.

7. Governing law

Placeholder — final jurisdiction and venue have not yet been confirmed by the business owner. To be filled in during owner review.

8. Changes to these Terms

If we make a material change, we will surface a notice on the site and update the date below before the new version takes effect. Continued use of the service after the change takes effect means you accept the updated Terms.
